1. Introduction and Legal Qualification

These Terms of Use (“Terms”) govern access to and use of the PORTALIO website, operated by Portalio
S.R.L., registered in Italy (“PORTALIO”, “we”, “us”, “our”). PORTALIO is a startup studio that
receives applications from founders and supports selected projects at the pre-seed stage with idea
Brainstorming, Development, and Branding.

PORTALIO is not a financial services provider, a marketplace, or an investment platform. It does not
guarantee any funding, partnership, or launch.

By accessing or using our website or services, you (“User”, “you”) agree to these Terms. If you do
not agree, please refrain from using the platform.

2. Parties to the Agreement

  • Controller / Operator: PORTALIO S.R.L. Reg No. 306182986, Italy
  • User: Any individual founder, team, or entity accessing or submitting
    information via the PORTALIO platform.

3. Access and Use of the Platform

  • The website and forms are intended for founders or project teams aged 18 or older.
  • Access is provided on an “as is” and “as available” basis.
  • Users are responsible for maintaining confidentiality of any login or sensitive information
    submitted through forms or email.

4. User Obligations

By using PORTALIO, you agree to:

  • Provide accurate, complete, and up-to-date information.
  • Not submit any content that is unlawful, defamatory, misleading, or infringing third-party
    rights.
  • Refrain from reverse-engineering, copying, or replicating any part of the platform’s
    infrastructure, content, or workflows.

5. Prohibited Uses

  • Upload or transmit any illegal, harmful, or obscene material.
  • Attempt unauthorized access to the platform, systems, or accounts.
  • Use PORTALIO for purposes unrelated to submitting or reviewing startup applications.

6. Application Submissions and Program Participation

  • Application submission does not create any right to participation, funding, mentorship, or
    continued engagement.
  • PORTALIO reserves full discretion in evaluating, rejecting, or selecting applications.
  • We may contact you to request clarification or provide further information.

7. Intellectual Property and Idea Submission

  • All platform content (designs, workflows, texts) is the intellectual property of PORTALIO and
    protected under applicable IP laws.
  • Submitting your idea/project to PORTALIO does not transfer ownership of your intellectual
    property.
  • By submitting, you grant PORTALIO a limited, revocable, non-exclusive right to review and
    evaluate your submission.
  • PORTALIO will not disclose, commercialize, or exploit your submission outside the scope of your
    participation unless agreed in writing.

8. Disclaimer of Warranties and Liability

  • The platform is provided “as is”. We do not guarantee access, success, outcome, or accuracy of
    any content.
  • PORTALIO does not assume liability for decisions made by users, nor for losses or damages
    arising from the use of the platform.
  • Participation in the program is at your own discretion and risk.

9. Data Protection and Privacy

All personal data is processed in accordance with the PORTALIO Privacy Policy, which complies with
GDPR and Italian Legislative Decree 196/2003 as amended. Users are advised to review the Privacy Policy before submitting any data.

10. Termination and Suspension

  • PORTALIO may suspend or terminate access:
  • In case of breach of these Terms;
  • If unlawful or harmful activity is detected;
  • Without prior notice if deemed necessary to protect the platform or other users.

11. Amendments

We may modify these Terms at any time. Updates will be posted on the website with the date of
revision. Continued use of the platform constitutes acceptance of the updated Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Italian Republic and European Union regulations. Any
disputes shall be subject to the exclusive jurisdiction of the courts of Milan, Italy, unless
otherwise required by law.

13. Force Majeure

PORTALIO shall not be liable for delays or failures caused by events beyond reasonable control,
including but not limited to natural disasters, internet outages, or regulatory interventions.
